These Terms of Service (“Terms”) govern your access to and use of TestSavant.AI (the “Service,” “App,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

1. Definitions

• “User,” “You”: Any individual or entity accessing or using the Service.
• “User Content”: Any data, text, files, or other material that you upload, submit, or transmit via the Service.
• “AI Usage Data”: Interactions with the Service, including prompts, responses, telemetry, logs, and performance data generated during your use.
• “Paid Plan”: Any subscription or plan requiring payment.
• “Trial”: Temporary free or discounted access to premium features.

2. License to Use the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal purposes, subject to these Terms.

You may not reverse engineer, sublicense, or resell the Service without our written consent.

3. Registration & Accounts

• You must provide accurate registration information.
• You are responsible for safeguarding your credentials.
• You must notify us immediately if you suspect unauthorized access to your account.

4. Trials

We may offer free or discounted trials. At the end of a Trial, unless cancelled, your account will convert to a Paid Plan and applicable fees will be charged.

5. Billing & Payment

• You authorize recurring charges to your designated payment method.
• Fees are non-refundable except as outlined in Section 6.
• We may change pricing with advance notice.

6. Cancellation & Refunds

Cancellation

• You may cancel at any time via your account settings or by contacting support.
• Cancellation is effective at the end of the current billing cycle.

Refunds

• No refunds or credits for partial periods, plan changes, or unused time.
• Usage-based fees (if applicable) are non-refundable.
• We may, at our sole discretion, issue refunds in exceptional cases.

7. AI Usage Data & Privacy

7.1 Ownership

• You retain full ownership of all User Content you upload or generate via the Service.

7.2 Service Improvement

• By default, you grant us a limited license to use AI Usage Data (including prompts, responses, and performance metrics) for:
  • Improving our models and algorithms.
  • Enhancing security, reliability, and performance.
  • Aggregated analytics across all customers.
• This license is revocable: You may opt out of contributing your data for service improvement by contacting [support @ testsavant.ai]. If you opt out, we will continue to process your data only to provide the Service to you.

7.3 Confidentiality

• We will not disclose your User Content or AI Usage Data to third parties except:
  • As required by law.
  • To trusted subprocessors essential to delivering the Service, bound by confidentiality obligations.

7.4 Data Retention

• We may retain anonymized or aggregated usage data indefinitely.
• User Content is retained only as long as necessary to provide the Service, unless deleted by you or required for compliance.

8. Acceptable Use

You agree not to:

• Use the Service to develop, train, or improve competing AI models.
• Submit unlawful, infringing, or harmful content.
• Circumvent security or technical restrictions.
• Engage in abusive, fraudulent, or high-risk activities.

9. Termination & Suspension

We may suspend or terminate accounts for violations of these Terms or non-payment. Upon termination, your license ends and access ceases.

10. Disclaimer of Warranties

The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind. We do not warrant uninterrupted or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by Delaware law:

• We are not liable for indirect, incidental, or consequential damages.
• Our aggregate liability is limited to the greater of (a) amounts paid by you in the past 12 months, or (b) USD $50.

12. Indemnification

You agree to indemnify and hold harmless TestSavant.AI and its affiliates against claims arising from your use of the Service or violation of these Terms.

13. Modifications

We may update these Terms at any time. Continued use after changes constitutes acceptance.

14. Governing Law & Disputes

• These Terms are governed by the laws of the State of Delaware, USA.
• Disputes will be resolved in Delaware through binding arbitration.
• You waive any right to class or consolidated actions.
